Dutch food group Wessanen has reported lower third-quarter net income, but said it expected its fourth-quarter net income to show substantial improvement. The company posted net income, before exceptionals and goodwill amortisation, of €2.1m (US$2.5m) for the third quarter of 2003, compared to €11.8m in the year-ago quarter.

USA: Tree of Life, Wild Oats Markets agree to end distribution agreement

Dutch food company Koninklijke Wessanen has appointed Ad Veenhof as its new chief executive officer. Veenhof previously held the position of chief executive officer at Philips Domestic Appliances and Personal Care. Veenhof will replace Mac Zondervan who will step down on 1 July after 29 years with the company.

NETHERLANDS: Wessanen reports fall in 2002 net sales

Dutch food group Koninklijke Wessanen has reported 2002 net sales of €2.8bn (US$3.02bn) compared to €4.0bn in 2001. The company said the fall in sales was mainly due to the divestment of Golden Foods International and dairy operations in North America and Europe. Net sales from ongoing activities, excluding Leerdammer which Wessanen sold at the beginning of December, were €2.58bn compared to €2.64bn in 2001. EBITA from ongoing activities before exceptional items for 2002 was down to €54.4m from €88.0m in 2001. Net income before exceptional items and amortisation of goodwill from ordinary activities was €35.8m, compared to €78.5m in 2001.

NETHERLANDS: Wessanen increases stake in Natudis

The executive board of Dutch food group Koninklijke Wessanen has announced that an agreement has been reached with Hügli, Switzerland, on acquiring 29.35% of the shares of branded natural and health food products supplier and distributor Natudis. With this purchase Wessanen increases its stake from 41.30% to 70.65%. The remaining shares will remain in the ownership of Nico Broersen, managing director of Natudis.

NETHERLANDS: Wessanen reduces 2002 net earnings outlook

Dutch food group Koninklijke Wessanen has announced that net earnings before goodwill amortisation and exceptional income and expenses over 2002 will amount to €35-40m (US$37-42m), which is in contrast with the previous outlook of 450m. As a result, the earnings per share will arrive at 50 to 57 eurocents, contrary to the previous outlook of 71 eurocents.

The executive board of Dutch specialty and convenience foods distributor Koninklijke Wessanen has announced that the sale of its European dairy activity, Leerdammer, to French dairy company Fromageries Bel has been completed. The selling price was finalised at €190m (US$189m), which will result in a book profit of around €100m.

The executive board of Dutch specialty and convenience foods distributor Koninklijke Wessanen has announced that an agreement has been reached with French dairy Fromageries Bel regarding the sale of Leerdammer. Wessanen will sell Leerdamer to Fromageries Bel for €190m (US$186.3m) in cash. The transaction is subject to the approval of the relevant competition authorities. Assuming timely receipt of this approval the transaction is expected to be completed during the fourth quarter of 2002, the company said.

NETHERLANDS: Divestments and US market influence Wessanen results

Multinational food giant Wessanen has recorded sales of €1,449.5m (US$1,422.56m) in the H1 2002, more or less equal compared with the H1 2001. The EBITA of current activities fell to €36.6m in the H1 2002 (H1 2001: €43.2m), and the earnings per share (EPS) amount fell to €0.31 (2001: €0.49). The balance sheet however was enhanced as a result of a strong cash-flow.

Dutch food giant Koninklijke Wessanen has revealed that it is to respond to shareholders´ requests for more intensive sharing of information by hosting an informative Shareholders Meeting on Wednesday 28 August 2002, at 2pm at the Hilton hotel in Amsterdam. The requests for more information were made during the company's Annual General Meeting (AGM) in April 2002.

The executive board of Dutch food giant Koninklijke Wessanen nv has announced that an agreement has been reached to acquire the UK's Wormley-based Kallo Foods. Kallo is the leading brand for an organic product range in the UK. This extensive range includes healthy products such as rice cakes and breadsticks. Kallo Foods' products are available at most supermarkets and the better health food shops in the UK, and the firm posts annual sales of about €22.5m (US$).

The Amstelveen-based multinational food giant Koninklijke Wessanen has sold the operations of its UK dry soups subsidiary Telford Foods to Brand Partnership (Holdings) Ltd. Wessanen explained that the divestiture of Shropshire-based Telford Foods is the next step in the implementation of its wellness strategy, focusing on natural and specialty foods. The production of dry soups no longer fits in with this strategic focus.

USA: Wild Oats signs distribution pact with Tree of Life

Boulder, Colo.-based Wild Oats Markets, a US natural and organic foods retailer, has signed a distribution contract with Tree of Life, the natural products distributing arm of Dutch food group Koninklijke Wessanen. From 1 September 2002 for three years, Tree of Life will be the primary national distribution partner for Wild Oats.

SWITZERLAND: Nestlé considering bidding for Novartis functional foods

Swiss food giant Nestlé is emerging as a frontrunner in the bidding race for the performance foods put up for sale by compatriot pharmaceuticals group Novartis. Alexandre Jost, who heads up Nestlé’s Swiss operations, told the Geneva newspaper Le Temps yesterday [Monday] that he would like to have Novartis’ Ovaltine brand in the Nestlé portfolio, although he denied talks with Novartis are at an advanced stage.

National Dairy Holdings, L.P. announced yesterday that it had completed its previously announced acquisition of Marigold Foods and Crowley Foods from Koninklijke Wessanen nv. Marigold Foods is a dairy processor, headquartered in Minneapolis, Minnesota, marketing a wide variety of dairy products under the Kemps brand name. Crowley Foods is an East Coast processor, headquartered in Binghamton, New York, which produces and markets a wide variety of dairy products under several well known brands including Crowley, Penn Maid, Axelrod, Green's and Heluva Good.

USA: ecFood acquires Master Dairies

The ecFood division of ecIndustries, a pioneer in web-based sourcing solutions, announced Friday (7 September) that it purchased Master Dairies, Inc, a buying group representing eight member companies operating 27 processing plants throughout the United States and Canada. The purchase of Master Dairies will bring annual revenues of $125 million to ecFood and provide the member companies of Master Dairies with state-of-the-art, online purchasing services designed specifically for the food and beverage industry.

The Executive Board of Koninklijke Wessanen nv announces that it has sold a share of approximately 30% in Campari S.p.A., the Italian drinks company, at an issue price of EUR 31 per share. Wessanen had a participation of 35% in Campari, the remaining 5% Wessanen has granted as an overallotment option (greenshoe) to Deutsche Bank and UBS Warburg, as joint global coordinators, at the issue price.

Dutch food group Wessanen revealed today (Thursday) that it had sold its US dairy unit to National Dairy Holdings for US$400m. The company has put on hold its planned sale of European dairy firm Leerdammer however, blaming the adverse climate from foot and mouth disease for the delay in seeking a buyer.
