Digital River, Inc. (Nasdaq:DRIV), the world's largest Commerce Service Provider (CSP) and Nabisco, Inc., the maker of such celebrated snacks as Oreo cookies, Ritz crackers, Planters nuts and Life Savers candy, have signed an e-commerce agreement marking Nabisco's first venture into e-commerce.

Under the new agreement, Digital River will build, host and manage a new web site called www.nabiscogifts.com, which will offer popular Nabisco snacks and confections in a new, high quality line of all-occasion gift packages perfect for personal and business gift-giving. Digital River will also provide integrated e-marketing and merchandising services for the web site. The new web site will be up and running in late November, just in time for holiday gift giving.

"Our e-commerce model continues to rise to the top as the solution of choice among leading manufacturers, such as Nabisco," said Joel Ronning, Digital River's CEO. "We have proven that we are the e-commerce specialists when it comes to working with mid-to large sized companies with complex business models, multiple sales channels, solid brands, a large volume of product SKUs and a loyal customer base."

Gift givers visiting the site will find a fun and convenient way to purchase special gift baskets, tins and boxes filled with Nabisco snack favorites, including Oreo, Chips Ahoy!, Snackwell's and Fig Newton cookies, Ritz, Wheat Thins and Cheese Nip crackers, Planters nuts and Life Savers candies. When placing online orders, shoppers will choose from a combination of products and creative packages that are then wrapped and shipped. The all-occasion gifts are perfect for care packages, birthdays, business giving, thank you's, thinking of you's and seasonal celebrations. Visitors frequenting the site will also find regular promotions.

In addition to using Digital River's e-commerce system, Nabisco selected Digital River's e-Marketing Services to help drive site sales and traffic at www.nabiscogifts.com. Digital River is providing a range of creative e-Marketing and merchandising services, including email marketing, dynamic site merchandising and integration with offline marketing initiatives.

"We are pleased to be working with Digital River on our first e-commerce initiative," said Sharon Fordham, Nabisco's President of Global e-Business. "Our new site will increase exposure for our brands, reach new customers and generate new revenues. The combination of leading-edge commerce and fully integrated e-Marketing will help build a solid foundation for launching the new site and new product line. Our efforts are geared to meet two important Nabisco e-Business objectives--driving short-term ROI and achieving long-term success."
