US weight loss service provider Weight Watchers International today announced that it has completed the acquisition of eight Weight Watchers franchises previously owned and operated by The WW Group and plans to close the acquisition of The WW Group franchise in Mexico subject to the completion of appropriate due diligence.

The acquired operations had annual attendances of over 5 million in 2002 at meetings held in twelve states in the Northeastern and Central United States. With this acquisition, company-owned operations will now account for over 70% of all US classroom attendances.
In 2002, the acquired franchises generated annual revenue of approximately US$76m and operating earnings (adjusted for non-recurring expenses but before integration and other incremental costs) of approximately $24m. The purchase price for the nine franchises is $181.5m and was funded with cash and additional borrowings of $85m under the company’s senior loan facility.
